Affiliate Agreement and Registration Form (Version 010705)
Please read the following terms and conditions when applying to become an Affiliate
with Ultratron Internet Services (Ultratron). If you agree please complete the
section below the agreement and fax this whole page to 937-862-9466. We are required
to have your original signature on file.
This Agreement contains the complete terms and conditions that apply to an individual's
or entity's participation in the Ultratron Affiliate Program (the "Program").
As used in this Agreement, "we" means Ultratron Internet Services (Ultratron)
and "you" means the Program Member (affiliate).
If you are in breach of any rules stated below your membership with us will
be terminated and we have right to forfeit any unpaid commission.
1. In your efforts to get new customers for us, we can supply you with banner
and links to display on your website. This will be sent to you (the affiliate) after
we approve your application.
2. We prohibit any illegal means of advertising this includes but is not limited
to spamming either by massive emails or search engines spamming. Should a lawsuit
arise the Affiliate will be held fully responsible for any damages and
court costs including attorney fees.
3. The Affiliate's own website (if it is used wholly or in part to promote
Ultratron's business) should not be in violation of any copyright, patents,
and trademarks. Further the content of the website should not contain content
that is illegal, defamatory or threatening or infringe on the proprietary rights
of another person. As an affiliate you are totally responsible for the content of
your website. Should an affiliate become party in a lawsuit, he (or she) agrees
to hold Ultratron totally harmless.
4. We provide you with a membership on an "as is" basis. We do not provide warranties
of any kind including but not limited to express, implied, warrant of merchantability,
warranty for fitness of particular purpose. We are not responsible to reimburse
you or the referred customer for any loss in income due to disruption of our
services. You agree to hold Ultratron and its upstream provider totally harmless.
5. As an affiliate you are considered an independent contractor. Therefore, an affiliate
cannot be considered an employee, partner, officer, franchisee or joint venture.
6. Ultratron Internet Services (Ultratron) will pay commission only after the
customer you refer (hereafter mentioned as referred customer) has paid us. We
are not liable to pay you commission for unpaid hosting accounts. We will not
be responsible for paying out commission if the referred customer does not give
us your name as referral source.
7. Ultratron will pay commission only after the referred customer remains a
paying customer beyond any "Money-back Guarantee" period extended
to the customer.
8. Additional services purchased by the referred customer at a later time are
not eligible for commission.
9. As an affiliate you are not eligible for commissions for services purchased
for your own use, for resale, or commercial use of any kind. This includes orders
for customers or on behalf of customers or orders for services to be used by
you or your friends, relatives or in any manner thereof. Such purchases may
result (in our sole discretion) in the withholding of referral fees or the termination
of this Agreement.
10. An affiliate is responsible for declaring his own income and paying
his own taxes. We will issue a 1099 to show how much money has been paid to
the affiliate in a tax year. One copy goes to the IRS (Federal taxes), one to the affiliate
and one we retain at Ultratron Internet Services. We are required to comply
with all taxation requirements.
11. We reserve the right to change our prices, commission rates and discounts
at any time without prior notice.
12. If you wish to cancel your agreement with us, please email us at support@ultratron.net.
We reserve the right to terminate your agreement with us if you have broken any
of our rules.
13. We will only sign a new customer if he (or she) agrees to abide with our
contract agreement.
14. We reserve the right to change any content in this agreement. We also reserve
the right to refuse any application without reason.
